Human Resources/Corporate Governance Committee

The Human Resources/Corporate Governance Committee reports to the Board of Directors.

Statement of Purpose

The Human Resources/Corporate Governance Committee of the Board shall be responsible to review and make recommendations to the Board of Directors for:

A  Human Resource Related Matters

  1. appointment of corporate officers;

  2. succession planning;

  3. annual compensation and benefits; and

  4. other significant human resource or organizational policies generally impacting employees of the Corporation; and

B  Corporate Governance Related Matters

  1. the Corporation's corporate governance policy including structure, organization and compensation of directors and Board committee members; and

  2. appropriate systems and procedures to enable the Board to exercise and discharge its responsibility.
